# About the Project

GreedyArt - a decentralized NFT auction with full payment. Bids made in the auction are non-refundable and form a reward pool, which is shared between the seller and the auction winner.

### **Sell your NFTs at the price they deserve**

Any creator can list their NFTs for sale and discover their true value.

### **Winning is profitable**

The auction winner not only receives the NFT but also 40% of the total bid pool in BNB, 20% of their bids in GREEDY tokens, plus the Initial Reward provided by the seller. Thus, the winner can receive 60% or even more from the total collected bid pool.

### **Losing is also profitable**

Every participant receives back 20% of all their bets in the form of algorithmic tokens GREEDY, which have numerous advantages over regular tokens.

### About GREEDY token

* The price of the GREEDY token is regulated by an algorithm embedded in the smart contract.
* All sold GREEDY tokens are 100% backed by liquidity in USDT.
* The GREEDY token is fully decentralized and not subject to external control.
* GREEDY tokens are available in 100% volume for the community and for working with the ecosystem from day one.
* The project did not do any private sales, seed rounds, IDO, IEO, did not distribute a single GREEDY token before the launch of the project, neither to the team nor to investors.
* No cliff, no vesting of tokens, no discounts or restrictions. Only a smart mathematical algorithm based on a transparent smart contract, accessible to everyone and complete decentralization, and for Web 3.0. fans.

# GreedyArt Auctions

> GreedyArt is a decentralized platform for conducting NFT auctions based on smart contracts. This means that anyone can connect their crypto wallet and start selling NFTs or participate in auctions without the need to register.
>
> Conducting auctions using smart contracts ensures absolute fairness, transparency, and equal terms for all participants.

### Sell NFTs

If you own an NFT on the BNB chain, sell it at GreedyArt auctions.

When creating an auction, you must specify an "Initial Reward" amount, which determines the position of your auction on the website list. The higher the "Initial Reward" amount, the higher your auction appears on the waiting list.

The Initial Reward amount, minus a 10% project fee, is received by the auction winner, in addition to other rewards.

### Participate in Auctions

To participate in an auction, all you need is a crypto wallet with a sufficient amount of BNB tokens to place a bid. Bids made in the auction are non-refundable and form a reward pool, which is shared between the seller and the auction winner.

Connect your wallet and place a bid in the current auction. The auction's starting bid is set by the seller, and each subsequent bid must be at least 0.01 BNB higher than the previous one.

The participant with the highest bid becomes the winner. To win, the bid must hold for its set duration, displayed on the website interface.

The holding time for each subsequent bid decreases by 1 second. The more bids made in the auction, the less time the subsequent bids will need to hold to win.

<br>

# How to Participate in Auctions?

### General Information

* GreedyArt auctions operate on the basis of smart contracts, ensuring unrestricted access, transparency, and equal terms for all participants.
* The list of subsequent auctions is sorted based on the Initial Reward amount. The higher the amount, the closer the auction is to the top of the list.
* The auction's starting bid is set by the seller, and each subsequent bid must be at least 0.01 BNB higher than the previous one. There's no limit to the maximum bid amount.
* All bids made by participants are non-refundable and contribute to the auction's total pool.

### How to Participate

**Step 1 - Connect your wallet**

On the main page at <https://greedy.art> or the active auction page at <https://greedy.art/auction>, connect your wallet by clicking the Connect Wallet button. Auctions are held on the BSC network, which must be added to your wallet.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2FIg7YihofD91HeIqLYvnP%2Fimage.png?alt=media&amp;token=ef52e7a6-f6cc-4a92-93c0-a2c76659c3dc" alt=""><figcaption></figcaption></figure>

**Step 2. Select the auction you are interested in from the Upcoming Auctions list**

You can view:

* information about the NFT token on sale;
* the amount the auction winner will receive (updated after each bid);
* the remaining time for the current bid to win. If no bids have been made, the "Await" label is displayed;
* the minimum amount for the next bid and the time it needs to hold to win;
* and other auction-related data.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2FqjMYjaX8gTByq5jdhgTd%2Fimage.png?alt=media&amp;token=1900c63a-2410-461c-8ee9-7f337d8c39ef" alt=""><figcaption></figcaption></figure>

**Step 3 - Enter bid amount**

Enter your desired bid amount and click the Place Bid button. If you're placing a bid for the first time, a popup will inform you that all bids are non-refundable. If you agree with this condition, click "I agree" and confirm the transaction in your wallet.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2F3UYN1C69ie4OTl6PiMP2%2Fimage.png?alt=media&amp;token=8055582f-b93e-40ea-88b4-05941097bea2" alt=""><figcaption></figcaption></figure>

Wait for your transaction to be accepted by the network; thereafter, your bid information will appear in the auction participation block.

When a new bid is placed, the countdown timer to the auction's end updates. The bid that remains unbeaten for the specified time becomes the auction winner.

The initial bid in the auction must "hold" to win for 3599 seconds (\~1 hour). Each subsequent bid must "hold" one second less than the previous one.

# Auction Participants' Rewards

### The auction winner receives:

* The NFT token that is auctioned off.
* 40% of the total amount of all bids made during the auction, in BNB token.
* The Initial Reward amount, contributed by the NFT seller during auction creation, in BNB token.
* 20% of their own bids, refunded in GREEDY token, accessible through the My rewards section.

To claim rewards from points 1-3, after the auction concludes, the winner needs to request a withdrawal from the smart contract by clicking the Claim button on the auction page. Upon transaction confirmation, rewards will be sent to the winner's wallet.

Important: Both the auction winner and the NFT seller can initiate the withdrawal request. If the seller makes the withdrawal request from the smart contract first, the auction winner will automatically receive the rewards in their wallet without the need for additional transactions.

To claim the reward as per point 4, navigate to the My rewards section and click the Claim GREEDY button, then confirm the transaction in your wallet.

### The NFT seller receives:

* 40% of the total amount of all bids made during the auction, in BNB token.

To claim the reward for selling the NFT, the seller needs to request a withdrawal from the smart contract by clicking the Claim button on the auction page. Upon transaction confirmation, the reward will be sent to the seller's wallet.

Important: The auction winner can also initiate the withdrawal request. If the winner makes the withdrawal request from the smart contract first, the seller will automatically receive the reward in their wallet without additional actions.

### All auction participants receive:

* 20% of their own bids made during the auction, refunded in GREEDY token, accessible through the My rewards section.

To claim this reward, navigate to the My rewards section and click the Claim GREEDY button, then confirm the transaction in your wallet.

# How to list an NFT for auction?

### Initial requirements to create an auction:

Possession of a crypto-wallet that supports the storage and sending of NFT tokens. The wallet will enable interaction with auction contracts on the platform.

Ownership of an NFT in the wallet, acquired from any marketplace or created on an external platform that supports the creation and issuance of NFTs.

Currently, creating NFTs on the GreedyArt platform is not available.

> GreedyArt platform supports ERC721 and ERC1155 standard tokens on the BNB chain, provided they have metadata consistent with the standards. The NFT's compliance with the platform's requirements is checked during auction creation.

### How to create an auction:

**Step 1 - Connect your wallet**

Connect the wallet from which the auction was created to the site by pressing the Connect Wallet button.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2F4Rdv7DaAiSpb4L8HpR5A%2Fimage.png?alt=media&amp;token=f0ba31a7-43e7-4895-bc6c-beb01462dce2" alt=""><figcaption></figcaption></figure>

**Step 2 - Go to the auction creation page**

Click the Create button at the top of the site and wait for the page to load.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2FzTZMaDrKVg2mxinifMpq%2Fimage.png?alt=media&amp;token=49acda3e-5873-4281-bef6-1183a2a68762" alt=""><figcaption></figcaption></figure>

**Step 3 - Select the NFT token**

On the opened page, all NFTs in your wallet will be displayed. Select the desired NFT token and click on it to proceed.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2FPVXTSoSufz0IHyESqZDX%2Fimage.png?alt=media&amp;token=49b0af0e-3354-4c85-8dda-8b74c754e198" alt=""><figcaption></figcaption></figure>

**Step 4. Specify the desired "Initial Reward" amount and the minimum bid amount**

"Initial Reward" determines the position of your auction in the site's listing. The higher the "Initial Reward" amount, the closer to the top your auction is in the waiting list.

The minimum bid amount is the amount of the first bid that can activate the auction.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2F066NrOBXkctsybrU79N0%2Fimage.png?alt=media&amp;token=3b7456fa-45c7-4137-8260-e649d9923618" alt=""><figcaption></figcaption></figure>

For ERC1155 standard tokens, an additional field displaying the number of tokens for sale will appear; specify the quantity you wish to list in the auction.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2FEyBeTeK9zFeEwzwD8wxf%2Fimage.png?alt=media&amp;token=95ba2064-eeba-4c44-bea0-2ec7555e9b79" alt=""><figcaption></figcaption></figure>

**Step 5 - Allow NFT access via Approve**

Click the Approve button and confirm the action in your wallet. By doing this, you are permitting the auction's smart contract to interact with your NFT token.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2FC34EncsdfxpSO8lQJrTI%2Fimage.png?alt=media&amp;token=d30e57cf-8d04-4150-98e2-35678b4426fe" alt=""><figcaption></figcaption></figure>

**Step 6 - Complete the auction creation**

After the confirmation is complete, the Create Auction button will become active. Press Create Auction and confirm the action in your wallet.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2FwSh5u7hAYOL6orCLq5VA%2Fimage.png?alt=media&amp;token=309fb2ab-8e23-4ebc-891f-8ce6c6e6d0af" alt=""><figcaption></figcaption></figure>

After confirmation, the NFT along with the specified "Initial Reward" amount will be sent to the GreedyArt auction contract.

**Immediately after the auction is created, 10% of the "Initial Reward" amount is transferred to the GreedyArt project wallet as a fee for listing the auction. The auction winner will receive the remaining 90% of this amount.**

\ <br>

# How to add NFTs manually

When creating an auction, if you can't find the desired NFT token in the list after connecting your wallet to the website, you can add the NFT manually. To add an NFT token manually, you will need to specify its contract address and token ID.

To find the NFT contract address and NFT token ID on the BNB Chain (formerly known as Binance Smart Chain), you can follow these steps:

1. Go to the BscScan website (bscscan.com), which is the official blockchain explorer for the BNB Chain.
2. Enter your wallet address into the BscScan search bar and press "Enter". This will display all transactions associated with your wallet.
3. Navigate to the NFT transfers tab and scroll through the list of transactions to find the one that corresponds to the receipt of the NFT.
4. Click on the transaction hash (the first column on the left) to view detailed information about the transaction.
5. The NFT contract address will be listed on the transaction information page, usually under the "Contract" or "From" heading.
6. The token ID is usually listed in the same section as the transaction information, under the "Token Transfer" section. This is the unique identifier of your NFT within the contract.

Please note that if you are looking for the contract address and token ID not for your own NFT, but for an NFT found on a trading platform or marketplace, you can usually find this information in the description of the NFT itself or in its details on the trading platform.

# GREEDY token

GREEDY is the token of the GreedyArt platform for conducting NFT auctions, which is awarded to participants as a guaranteed reward for placing bids in auctions.

Main characteristics of the token:

<table><thead><tr><th width="210">Characteristic</th><th>Value</th></tr></thead><tbody><tr><td>Contract address</td><td>0x7CdF887bFd5c1fEE94F549e90e1F6CD7A3E8e5F8</td></tr><tr><td>Chain</td><td>BNB chain</td></tr><tr><td>Token standard</td><td>BEP-20</td></tr><tr><td>Total supply</td><td>100,000,000 GREEDY</td></tr><tr><td>Max total supply</td><td>100,000,000 GREEDY</td></tr><tr><td>Decimals</td><td>18</td></tr></tbody></table>

GREEDY is responsible for preserving and distributing liquidity obtained from token sales among all token holders.

It features integrated staking and deflationary mechanisms, which enhance its value relative to USDT.

Token buying and selling transactions are conducted through a smart contract, ensuring:

* **Full liquidity provision:** all funds from token sales are stored in this contract. This serves as a guarantee for providing 100% liquidity for redeemed tokens when they are sold back to the contract.
* **Sales flexibility:** any GREEDY holder can sell their tokens back to the smart contract at any time and receive USDT based on their share in the pool.

GREEDY's decentralization is ensured by issuing all tokens and transferring them to the sales smart contract at the project's inception. The project team lacks the ability for additional token issuance or to manage the liquidity stored in the smart contract. This means control remains in the hands of token holders, ensuring complete independence from centralized interventions and maximum transparency in the project.

Details on the current token buy/sell price and its liquidity can be found at <https://greedy.art/token>.

<br>

<br>

# How GREEDY Works

**1. By the project's start, all 100,000,000 GREEDY were issued and locked in a smart contract for their initial sale to users. The project team did not own any tokens initially and can purchase them only on par with other users.**

> *Example:*
>
> When the first 5 tokens are purchased, the total circulation becomes 5, and 99,999,995 tokens remain locked in the contract, and so on.

**2. The price of the first GREEDY token on the smart contract is 0.0001 USDT. Each subsequent token is priced at 0.0001 USDT more than the previous one.**

> *Example:*
>
> The first token costs 0.0001 USDT, the second 0.0002 USDT, the third 0.0003 USDT, and so on.

**3. USDT obtained from token sales, minus a 10% project commission, immediately go to the smart contract's storage. Nobody, including the project's developers, can access these funds. The pool of USDT tokens formed as a result of this on the contract is called isolated liquidity.**

> Example:
>
> The price of the first and second tokens are 0.0001 USDT and 0.0002 USDT respectively. After purchasing the first token, the isolated liquidity in the contract is 0.0001 - 10% = 0.00009 USDT, after the second purchase it becomes 0.00009 USDT + 0.00018 USDT = 0.00027 USDT, and so on.

**4. Any GREEDY holder can return their tokens to the smart contract and receive USDT in exchange. The amount of USDT a user receives is calculated using the formula:**&#x20;

$$
\text{Isolated Liquidity} \div \text{Circulation Supply} \times \text{GREEDY amount}
$$

Where:

* **Isolated Liquidity** is the current sum of isolated liquidity in USDT on the smart contract.
* **Circulation Supply** is the number of GREEDY tokens in circulation.
* **GREEDY amount** is the quantity of GREEDY the user is returning to the contract.

> Example:
>
> With 3 GREEDY tokens in circulation and liquidity in the contract at 0.00054 USDT, each token will return 0.00054 / 3 = 0.00018 USDT.

**5. The number of circulating GREEDY tokens decreases due to a deflationary mechanism, i.e., when transactions are made between user wallets. 5% of the transaction amounts are returned to the smart contract for resale, thus reducing the token circulation and increasing the GREEDY price. No deflation fee is charged during buying and selling tokens back to the contract.**

> Example:
>
> Transferring 100 tokens from one wallet to another will result in the recipient receiving 95 tokens, with 5 being returned to the smart contract and removed from circulation.

**6. 20% of all bets made by GreedyArt auction participants are sent to a reward fund. Participants can only retrieve accumulated funds from the reward fund by exchanging them for GREEDY tokens. Thus, 20% of every bet made on GreedyArt goes towards purchasing GREEDY tokens, which are then distributed to auction participants.**

> Example:
>
> A participant places a $10 bet on a GreedyArt auction. $2 from this bet goes towards purchasing GREEDY tokens.<br>

# How to buy GREEDY tokens?

The GREEDY token is part of a decentralized infrastructure, so its basic purchase function is provided by smart contracts. However, the minimum amount for which you can purchase GREEDY may vary according to the sales round.

On the page <https://greedy.art/token>, you can always find the current minimum purchase amount for GREEDY, as well as make a token purchase.

The GREEDY token may be sold on decentralized exchanges or other platforms. Since the project team does not hold the tokens by default, sales on all third-party platforms, other than greedy.art, are facilitated by token holders, for whose reliability the project team does not take responsibility.

### To purchase the tokens, you need to:

1. Have a sufficient amount of USDT in your wallet for the purchase, and some BNB tokens to cover the transaction fees on the BNB chain.
2. Go to the page <https://greedy.art/token>
3. Specify the number of GREEDY tokens you want to buy. After entering, the system will calculate the cost of purchasing the specified number of tokens in USDT. You can also specify the desired purchase amount in USDT, and the system will calculate how many GREEDY tokens you can buy for the specified amount.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2FVJ8cqPqxK6qo1aBqSSqY%2Fimage.png?alt=media&amp;token=182d05fe-0738-4804-a862-d39055dd0a4e" alt=""><figcaption></figcaption></figure>

4. Click the "Approve" button, thereby allowing the specified amount of USDT to be spent from your wallet.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2F8zApmN0ckHzBSVndezjn%2Fimage.png?alt=media&amp;token=353451d1-0353-472a-b656-15a9ce54c8c3" alt=""><figcaption></figcaption></figure>

5. Then click the "BUY GREEDY" button and confirm the transaction in your wallet.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2Fcfkb3tIFU5rJ50kLObsk%2Fimage.png?alt=media&amp;token=dc7bc93d-1a05-4349-a19a-1cdd7786d6b0" alt=""><figcaption></figcaption></figure>

6. Once the transaction is processed by the network, the GREEDY tokens will be credited to the buyer's wallet.

Since the purchase price of GREEDY depends on the number of tokens purchased on the smart contract, the cost may change during the transaction execution, and the buyer may receive fewer tokens than expected.

This process can be controlled by specifying the Slippage parameter - the maximum deviation from the initial price, given as a percentage. By default, Slippage is set to 0.5%, meaning if the number of tokens purchased decreases by 0.5% or more from the initial value, the transaction will not be executed.

<br>

# How to sell GREEDY tokens?

The GREEDY token is part of a decentralized infrastructure, so its selling function is provided by smart contracts.

A holder of GREEDY tokens can sell their tokens back to the smart contract at any time and receive a reward in the form of USDT tokens, corresponding to their share of the pool.

Selling GREEDY tokens, just like buying them, can always be done on the page <https://greedy.art/token>. The project team does not vouch for the reliability of any other platforms where GREEDY tokens might be sold.

### To sell the tokens, you need to:

1. Have any amount of GREEDY tokens in your wallet, as well as some BNB tokens to cover the transaction fees on the BNB chain.
2. Go to the page <https://greedy.art/token> and switch the exchange direction to GREEDY -> USDT by clicking the corresponding button located in the center of the exchange block.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2FkuhJvsBdNmVLnw3O66ZA%2Fimage.png?alt=media&amp;token=42a1c3d0-6d4f-4159-9143-f7cc9cb225a9" alt=""><figcaption></figcaption></figure>

3. Specify the amount of GREEDY to sell.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2FxleWlCM61DMnHPzQHa4k%2Fimage.png?alt=media&amp;token=6544a44f-502c-4402-a0cc-6e543287b3c5" alt=""><figcaption></figcaption></figure>

4. Click the "Approve" button, thereby allowing the specified amount of GREEDY to be spent from your wallet.

5. Then click the "SELL GREEDY" button and confirm the transaction in your wallet.

<figure><img src="https://3411923163-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FIzebRuwKch0uOw5eRnmD%2Fuploads%2FeQtYRRTDo6YJNHMr5r4k%2Fimage.png?alt=media&amp;token=52b0acd1-98b8-4d68-8879-476379d14f17" alt=""><figcaption></figcaption></figure>

6. Once the transaction is processed by the network, the corresponding number of USDT tokens will be credited to the wallet from which the sale was made.

Since the selling price of GREEDY depends on the number of tokens purchased on the smart contract, during the sales transaction, the token's price might change, and the seller might receive more USDT tokens than expected. This is normal behavior for this process.

At this stage, 1000 tokens are being redeemed from the smart contract and listed on PancakeSwap at a price of $0.1/GREEDY.

## Public sales rounds

<table><thead><tr><th width="147">Name</th><th width="149">Min buy amount</th><th width="133">Collection amount</th><th>Term</th><th>Amount</th><th>Buy price</th><th>Sell Price</th></tr></thead><tbody><tr><td>Round 1 (For auction participants)</td><td>$1,000,000</td><td>$125 002.50</td><td>1 month</td><td>49 000 GREEDY</td><td>Up to $5.</td><td>Up to $2.25</td></tr><tr><td>Round 2</td><td>$5,000</td><td>$2 000 010</td><td>1 month</td><td>150 000 GREEDY</td><td>Up to $20</td><td>Up to $9.0</td></tr><tr><td>Round 3</td><td>$10</td><td>∞</td><td>∞</td><td>∞</td><td>∞</td><td>∞</td></tr></tbody></table>

* Public sales rounds 1,2 will be completed at the moment that comes first - Collection Amount or Term, i.e. after a certain period of completion.
* If during public sales rounds 1 and 2 the maximum amount is not collected within the specified time, then the unsold number of tokens automatically goes over and becomes available in public sales round 3, and the minimum Buy/Sell price of tokens is automatically recalculated to the current circulation of tokens in the smart contract.
* In all rounds, the minimum purchase amount of GREEDY is specified only for buying tokens through a smart contract.
* All participants of the GreedyArt auctions receive GREEDY tokens as a reward for participation, regardless of the amount of their bids. Tokens are obtained through the 'My rewards' section.

By accessing or using the Website, you signify that you have read, understand, and agree to be bound by this Agreement in its entirety. ### Introduction

The website provides access to a decentralized protocol for conducting NFT auctions with own an algorithmic token on the public BNB Chain blockchain and serves as a bridge between artists and the global audience of art enthusiasts and collectors. The Website is one, but not the exclusive, means of accessing the Protocol.

To access the Website, you must use non-custodial wallet software, which allows you to interact with public blockchains. Your relationship with that non-custodial wallet provider is governed by the applicable terms of service of that third party, not this Agreement. Wallets are not operated by, maintained by, or affiliated with us, and we do not have custody or control over the contents of your wallet and have no ability to retrieve or transfer its contents. By connecting your wallet to our Website, you agree to be bound by this Agreement and all of the terms incorporated herein by reference.

GreedyArt does not control or manage GREEDY tokens and the auctions conducted through the decentralized protocol on any blockchain network. By using the website, you understand that you are not buying or selling GREEDY tokens or NFTs directly from us and that we do not conduct auctions or control the progress of auctions on the protocol. You further agree that the only duties and obligations that we owe you are those set out expressly in this Agreement.

### Compliance and Tax Obligations

The Website may not be available or appropriate for use in your jurisdiction. By accessing or using the Website, you agree that you are solely and entirely responsible for compliance with all laws and regulations that may apply to you.

Specifically, your use of the Website or the Protocol may result in various tax consequences, such as income or capital gains tax, value-added tax, goods and services tax, or sales tax in certain jurisdictions.It is your responsibility to determine whether taxes apply to any transactions you initiate or receive and, if so, to report and/or remit the correct tax to the appropriate tax authority.

### Assumption of Risk&#x20;

By accessing and using the Website, you represent that you are financially and technically sophisticated enough to understand the inherent risks associated with using cryptographic and blockchain-based systems, and that you have a working knowledge of the usage and intricacies of digital assets such as Binance Coin (BNB), GREEDY token, so-called stablecoins (USDT), NFT tokens, and other digital tokens such as those following the Ethereum Token Standard (ERC-20).

In particular, you understand that the markets for these digital assets are nascent and highly volatile due to risk factors including (but not limited to) adoption, speculation, technology, security, and regulation. You understand that anyone can create a token, including fake versions of existing tokens and tokens that falsely claim to represent projects, and acknowledge and accept the risk that you may mistakenly trade those or other tokens. So-called stablecoins may not be as stable as they purport to be, may not be fully or adequately collateralized, and may be subject to panics and runs.

Further, you understand that smart contract transactions automatically execute and settle, and that blockchain-based transactions are irreversible when confirmed. You acknowledge and accept that the cost and speed of transacting with cryptographic and blockchain-based systems such as BNB chain are variable and may increase dramatically at any time.&#x20;

If you are a seller of NFT tokens, you acknowledge that the sale price of your tokens is determined exclusively by the number and total of bids made. Bidders may value your NFTs at a lower price than you might wish to receive. Additionally, you recognize that all tokens are sold for BNB tokens, which are subject to continuous fluctuations in exchange rates relative to other tokens.

As a participant in the auction process, you acknowledge and agree that all bids placed in the auctions are final and non-refundable. Should your bid not be the winning bid, you accept that your funds will be irrevocably forfeited.

As a buyer or seller of GREEDY tokens, you must understand and accept the inherent risks associated with the algorithmic nature of these tokens. The price of GREEDY tokens is regulated by a smart contract, which means it is subject to the mechanisms and conditions set within the contract's programming. Regulatory changes, and technological vulnerabilities could potentially affect the token's performance and value.

In summary, you acknowledge that we are not responsible for any of these variables or risks, do not own or control the Protocol, and cannot be held liable for any resulting losses that you experience while accessing or using the Website. Accordingly, you understand and agree to assume full responsibility for all of the risks of accessing and using the Website to interact with the Protocol.

YOU ACKNOWLEDGE AND AGREE THAT THERE ARE NUMEROUS RISKS ASSOCIATED WITH PURCHASING GREEDY TOKEN AND NFTS, HOLDING GREEDY TOKEN & NFT. YOU EXPRESSLY ACKNOWLEDGE, ACCEPT AND ASSUME THE FOLLOWING RISKS:

1. UNCERTAIN REGULATIONS AND ENFORCEMENT ACTIONS: THE REGULATORY STATUS OF GREEDY TOKEN AND DISTRIBUTED LEDGER TECHNOLOGY IS UNCLEAR OR UNSETTLED IN MANY JURISDICTIONS. THE REGULATION OF VIRTUAL CURRENCIES HAS BECOME A PRIMARY TARGET OF REGULATION IN ALL MAJOR COUNTRIES IN THE WORLD. IT IS IMPOSSIBLE TO PREDICT HOW, WHEN OR WHETHER REGULATORY AGENCIES MAY APPLY EXISTING REGULATIONS OR CREATE NEW REGULATIONS WITH RESPECT TO SUCH TECHNOLOGY AND ITS APPLICATIONS, INCLUDING GREEDY TOKEN. REGULATORY ACTIONS COULD NEGATIVELY IMPACT TOKEN GREEDY IN VARIOUS WAYS. THE FOUNDATION, THE DISTRIBUTOR (OR ITS AFFILIATES) MAY CEASE OPERATIONS IN A JURISDICTION IN THE EVENT THAT REGULATORY ACTIONS, OR CHANGES TO LAW OR REGULATION, MAKE IT ILLEGAL TO OPERATE IN SUCH JURISDICTION, OR COMMERCIALLY UNDESIRABLE TO OBTAIN THE NECESSARY REGULATORY APPROVAL(S) TO OPERATE IN SUCH JURISDICTION.
2. INADEQUATE DISCLOSURE OF INFORMATION: AS AT THE DATE HEREOF, THE GREEDY PROJECT IS STILL UNDER DEVELOPMENT AND ITS DESIGN CONCEPTS, CODES, AND OTHER TECHNICAL DETAILS AND PARAMETERS MAY BE CONSTANTLY AND FREQUENTLY UPDATED AND CHANGED. ALTHOUGH THIS DRAFT CONTAINS THE MOST CURRENT INFORMATION RELATING TO THE GREEDY PROJECT, IT IS NOT ABSOLUTELY COMPLETE AND MAY STILL BE ADJUSTED AND UPDATED BY THE GREEDY DEVELOPMENT TEAM FROM TIME TO TIME. THE GREEDY DEVELOPMENT TEAM HAS NO ABILITY AND OBLIGATION TO KEEP HOLDERS OF GREEDY TOKEN INFORMED OF EVERY DETAIL (INCLUDING DEVELOPMENT PROGRESS AND EXPECTED MILESTONES) REGARDING THE PROJECT, HENCE INSUFFICIENT INFORMATION DISCLOSURE IS INEVITABLE AND REASONABLE.
3. FAILURE TO DEVELOP: THERE IS THE RISK THAT THE DEVELOPMENT OF THE GREEDY PROJECT WILL NOT BE EXECUTED OR IMPLEMENTED AS PLANNED, FOR A VARIETY OF REASONS, INCLUDING WITHOUT LIMITATION THE EVENT OF A DECLINE IN THE PRICES OF ANY DIGITAL ASSET, VIRTUAL CURRENCY OR GREEDY TOKEN, UNFORESEEN TECHNICAL DIFFICULTIES, AND SHORTAGE OF DEVELOPMENT FUNDS FOR ACTIVITIES.
4. SECURITY WEAKNESSES: HACKERS OR OTHER MALICIOUS GROUPS OR ORGANIZATIONS MAY ATTEMPT TO INTERFERE WITH GREEDY TOKEN AND/OR THE GREEDY PROJECT IN A VARIETY OF WAYS, INCLUDING, BUT NOT LIMITED TO, MALWARE ATTACKS, DENIAL OF SERVICE ATTACKS, CONSENSUS-BASED ATTACKS, SYBIL ATTACKS, SMURFING AND SPOOFING ETC.
5. OTHER RISKS: IN ADDITION, THE POTENTIAL RISKS BRIEFLY MENTIONED ABOVE ARE NOT EXHAUSTIVE AND THERE ARE OTHER RISKS (AS MORE PARTICULARLY SET OUT IN THE TERMS AND CONDITIONS) ASSOCIATED WITH YOUR PURCHASE, HOLDING AND USE OF NFT AND GREEDY TOKEN. GREEDY TOKENS IS AIMED SOLELY AT PERSONS WHO HAVE SUFFICIENT KNOWLEDGE AND UNDERSTANDING OF BLOCKCHAIN AND CRYPTOGRAPHIC TOKENS AND OTHER DIGITAL ASSETS, SMART CONTRACTS, STORAGE MECHANISMS (SUCH AS DIGITAL OR TOKEN WALLETS) BLOCKCHAIN-BASED SOFTWARE SYSTEMS AND BLOCKCHAIN OR DISTRIBUTED LEDGER TECHNOLOGY, TO BE ABLE TO EVALUATE THE RISKS AND MERITS OF A PURCHASE OF NFTS, GREEDY TOKENS AND ARE ABLE TO BEAR THE RISKS THEREOF, INCLUDING LOSS OF ALL AMOUNTS PAID AND LOSS OF GREEDY TOKENS PURCHASED. POTENTIAL PURCHASERS MUST FURTHER MAKE THEIR OWN INDEPENDENT ASSESSMENT, AFTER MAKING SUCH INVESTIGATIONS AS THEY CONSIDER NECESSARY, OF THE MERITS OF, AND THEIR SUITABILITY FOR, PURCHASING ANY NFTS, GREEDY TOKENS AND SHOULD CONSULT THEIR ACCOUNTING, LEGAL AND TAX REPRESENTATIVES AND ADVISERS IN ORDER TO EVALUATE THE ECONOMIC, LEGAL AND TAX CONSEQUENCES OF PURCHASING NFTS, GREEDY TOKENS.

### Indemnity

THE RISK OF LOSS IN HOLDING ANY CRYPTOGRAPHIC TOKENS AND NFT CAN BE SUBSTANTIAL. USERS OF WEBSITE SHOULD THEREFORE CAREFULLY CONSIDER WHETHER HOLDING ANY CRYPTOGRAPHIC TOKENS AND NFT. WHEN USING A GREEDY WEBSITE AND SERVICES, USERS (PARTICIPANTS) ACKNOWLEDGE THAT THE GREEDY PROJECT IS NOT RESPONSIBLE FOR ANY LOSSES RESULTING FROM MARKET CHANGES OR ACCOUNT MISAPPROPRIATION. USERS UNDERSTAND AND AGREE THAT ANY CRYPTOGRAPHIC TOKENS, NFTS, BLOCKCHAIN TECHNOLOGY OR DISTRIBUTED LEDGER TECHNOLOGY RELATED PROJECTS ARE NEW AND RELATIVELY UNTESTED AND OUTSIDE OF BOTH THE PARTICIPANT AND THE PROJECT’S EXCLUSIVE CONTROL. ANY ADVERSE CHANGES IN MARKET FORCES, THE TECHNOLOGY AND REGULATORY ENVIRONMENT IMPACTING THE GREEDY PERFORMANCE UNDER THIS DOCUMENT ABSOLVE GREEDY FROM RESPONSIBILITY IN THIS REGARD, INCLUDING BUT NOT LIMITED TO HACKING ATTACKS, POSSIBLE THEFT, UNFAVOURABLE REGULATORY ACTION, OR UNCLEAR LEGAL/TAX STATUS OF CRYPTOGRAPHIC TOKENS, NFTS. USERS AGREE AND ACKNOWLEDGE THAT THE GREEDY DOES NOT REPRESENT OR WARRANT THAT ANY GREEDY SERVICES OR GREEDY WEBSITE ARE SECURE FROM A HACKER OR OTHER MALICIOUS ATTACK, WHICH MAY RESULT IN THE STEALING FUNDS OR ANY DATA. If we deny the request, we will communicate the decision to you. You are entitled to exercise the rights described above free from discrimination.
* **Submitting a Request.** You can submit a request for information, access, or deletion to <privacy@greedy.art>.
* **Identity Verification.** The CCPA requires us to collect and verify the identity of any individual submitting a request to access or delete personal information before providing a substantive response.
* **Authorized Agents.** California residents can designate an “authorized agent” to submit requests on their behalf. We will require the authorized agent to have a written authorization confirming their authority.
